Material Supplier Contract means (a) the TSA, (b) any Contract for the supply and/or installation of other major components of the Project, and

Material Supplier Contract means any contract (including for the avoidance of doubt: any purchase order or similar document/correspondence) between a Group Company and a supplier (i) if the supplier accounted for 2% or more of the Group’s total actual purchases in 2014 or 2015, (ii) with a payment obligation in excess of €1,000,000 (in words: one million euro) per year, or (iii) with a duration in excess of one (1) year;

Material Supplier Contract means the top 20 supplier contracts of the Target Group as identified by Management Warrantors and provided as part of the Disclosure Documents;

Except as may be disclosed on Schedule 4.6, neither the execution and delivery of this Agreement nor the consummation or performance of any of the transactions contemplated by this Agreement will, directly or indirectly (with or without notice or lapse of time):
