The Company shall use the Subscription Proceeds primarily for financing the development of the Tocantinzinho Gold Project comprised within its Material Resource Properties to completion, to cover expenses related to the subscriptions contemplated by this Agreement and for other general corporate purposes.
Except as disclosed in the Public Disclosure Record, the Company and the Subsidiaries maintain commercially appropriate insurance (as determined in relation to the size, nature and stage of development of the Material Resource Properties) against loss of, or damage to, their assets for all insurable risks on a repair, reinstatement or replacement cost basis, and all of the policies in respect of such insurance coverage are in good standing in all respects and not in default.
