Material or Materially definition

Material or Materially means material or materially, as the case may be, in relation to the business, operations, affairs, financial condition, assets, properties or prospects of the Company and the Restricted Subsidiaries taken as a whole.
Material or Materially means any fact, matter, event occasion, action, omission, change, result, misrepresentation, nondisclosure, occurrence or effect which a reasonable Person would want to know in determining a choice of action such as but not limited to whether to purchase a business, how much to pay for it or whether to accept certain risks.

Examples of Material or Materially in a sentence

  • Material" or "Materially" (whether or not capitalized) includes any matter which might reasonably be expected to influence the Purchaser's decision to consummate the transaction contemplated in this Agreement on the terms and conditions herein.

  • For purposes of this paragraph, "Material" or "Materially" shall mean a material adverse effect on the Company, its subsidiaries, COAC, or Cerberus Capital Management; provided that, the Parties agree that any breach of Section 6.5 by the Executive shall be treated as Material.

  • Materially Adverse Effect means (a) any material adverse effect upon the business, assets, liabilities, financial condition or results of operations of the Borrower and its Subsidiaries, taken as a whole, or (b) a material adverse effect upon any material rights or benefits of the Lenders or the Administrative Agent under the Loan Documents.

  • Acquiror Material Adverse Effect means, any change, event, circumstance, occurrence, effect, development or state of facts that, individually or in the aggregate, with any other change, event, circumstance, occurrence, effect, development or state of facts has had or would reasonably be expected to prevent or materially delay or materially impact the ability of Acquiror and the Sponsor to consummate the Transactions. Notwithstanding the foregoing, the amount of the Acquiror Stockholder Redemptions or the failure to obtain the Acquiror Stockholder Approval shall not be deemed to be an Acquiror Material Adverse Effect.

  • Investor Material Adverse Effect means any effect, change, event or occurrence that would prevent or materially delay the consummation by the Investors of any of the Transactions on a timely basis.
