Material Instrument definition

Material Instrument means, with respect to a person, any note, bond, mortgage, indenture, license, franchise, permit, agreement, lease, franchise agreement or other instrument or obligation to which such person is a Party or by which such person or any of its properties or assets are bound.
Material Instrument shall have the meaning specified in Section 9.01(c)(ii).
Material Instrument means any Instrument with respect to which the aggregate amount payable thereunder exceeds $5,000,000.

  • Notwithstanding the foregoing, to the extent not violative of any Material Instrument Requirements, Mortgagor may maintain deductibles with respect to the insurance policies described in clauses (i), (ii), (iii), (v), (vi) and (vii) above in accordance with standard industry practice with respect to the operation of a first-class casino hotel.
