Material Country definition

Material Country means the Major Market Countries and Japan, China, Brazil, Poland, Canada, Romania, Hungary, Turkey, Czech Republic, Australia, Netherlands and Mexico.

Material Country. (i) as to any Patent, the country in which such Patent is filed or granted, and (ii) as to any Trademark, the United States, the United Kingdom, Canada, Australia and Germany and each other country in which the Pledgor's rights to such Trademark are material to the value of such Trademark.

Examples of Material Country in a sentence

  • Except as disclosed on Schedule 7.3, no action by (including any authorization, consent or approval), or in respect of, or filing with, any Governmental Authority in any Material Country is required for, or in connection with (a) the authorization, execution, delivery and performance by Genzyme or any of its Affiliates of this Agreement and each Ancillary Agreement to which it is (or will be) a party or (b) the consummation of the Contemplated Transactions by Genzyme or any of its Affiliates.
