Material Alteration Adverse Effect definition

Material Alteration Adverse Effect means an alteration which (i) could result in a default by Borrower pursuant to any Major Lease, (ii) could result in criminal liability of Borrower and/or Guarantor, (iii) could result in a material adverse impact on the value of the Property (i.e. a decrease in excess of five percent (5%)), (iv) could result in a material adverse impact on the cash flow at the Property (i.e. a decrease in excess of ten percent (10%)), and/or
Material Alteration Adverse Effect means an alteration which (i) would likely result in a default by Borrower pursuant to any Major Lease, (ii) would likely result in criminal liability of Borrower and/or Guarantor, (iii) would likely result in a material adverse impact on the value of the Property (i.e. a decrease in excess of five percent (5%)), (iv) could result in a material adverse impact on the cash flow at the Property (i.e. a decrease in excess of ten percent (10%)), and/or (v) would likely cause a violation of any REMIC Requirements.
