Material Adverse Effect with definition

Material Adverse Effect with respect to any Person means an event, condition, matter, change or effect that impacts or, insofar as reasonably can be foreseen, in the future is likely to impact, in a materially adverse manner, the condition (financial or otherwise), properties, assets, liabilities, earnings, capitalisation, shareholders’ equity, licenses or franchises, businesses, operation or prospects of such Person or the ability of such Person to perform fully any of its obligations under any of the Operative Agreements;

Examples of Material Adverse Effect with in a sentence

  • No Material Adverse Effect with respect to the Company shall have occurred since the date of this Agreement.

  • Since the date of formation of the Borrower there has been no Material Adverse Effect with respect to the Borrower.

  • There is no consent, approval, permit, license, order or authorization of, and no filing with or notice to, any court or Governmental Authority related to the operation, use or leasing of the Property that has not been obtained, except as would not reasonably be expected to have an Individual Material Adverse Effect with respect to the Property.

  • To the knowledge of Bank, there is no reasonable basis for any such proceeding, claim, action or governmental investigation that would impose any liability or obligation that would have, either individually or in the aggregate, a Material Adverse Effect with respect to Bank.

  • Except as set forth on Section 2.14 of the Bank Disclosure Letter, Bank is not subject to any agreement, order, judgment, decree, letter agreement or memorandum of agreement by or with any court, Governmental Entity, Regulatory Agency or other third party imposing any liability or obligation with respect to the foregoing that would have, either individually or in the aggregate, a Material Adverse Effect with respect to Bank.
