The obligations of the Issuer under the Notes and this Indenture shall be secured by a first priority Lien over the Capital Stock of Matel Holdings (together with any other assets that from time to time may secure the Notes, the “Collateral”).
The Issuer and the Security Trustee have entered into the Security Document pursuant to which all the outstanding Capital Stock and any future Capital Stock of Matel Holdings have been pledged on a first priority basis to secure the payment and performance when due of the obligations of the Issuer hereunder and under the Notes.
Each Holder by accepting a Note agrees to Matel succeeding to the obligations of the Issuer.
