Master Consent to Assignment definition

Master Consent to Assignment means the Master Consent to Assignment, substantially in the form of Exhibit H.

  • The Lenders hereby authorize the Administrative Agent to enter into the Master Consent to Assignment and each Lender agrees to be bound by all of the terms and provisions of the Master Consent to Assignment to the same extent as if it were a signatory thereto.

More Definitions of Master Consent to Assignment

Master Consent to Assignment means the Master Consent to Assignment, substantially in the form of Exhibit G. “Material Adverse Effect” means (a) a material adverse change in, or a material adverse effect upon, the operations, business, assets, liabilities (actual or contingent) or condition (financial or otherwise) of the Borrower and its Restricted Subsidiaries taken as a whole or the MLP, the Borrower and the Restricted Subsidiaries taken as a whole, (b) a material adverse effect on the ability of the Borrower or the MLP to perform its obligations under the Loan Documents to which it is a party, (c) a material adverse effect upon the legality, validity, binding effect or enforceability against the Borrower, the MLP, or any other Loan Party of any Loan Document, or (d) a material adverse effect on the ability of the Administrative Agent, the Collateral Agent or the Lenders to enforce its or their remedies under any Loan Document. “Material Agreements” means (a) the agreements set forth on Schedule 1.04(c1.01(c) hereto, and (b) any other contract material to the business of the MLP or the Borrower to which the Borrower or any other Loan Party is a party if the termination of such contract could be reasonably expected to have a Material Adverse Effect.
Master Consent to Assignment means that certain Amended and Restated Master Consent to Assignment, dated as of March 28, 2013 by Martin Resource Management Corporation, Martin Transport, Inc., Martin Products Sales LLC, Martin Underground Storage, Inc. and Martin Energy Services LLC and acknowledged by RBC as amended, amended and restated or otherwise modified from time to time.
Master Consent to Assignment means the master consent to assignment entered into pursuant to section 11.06 of the DIP Term Loan Credit Agreement.
