All necessary corporate action has been taken by the Company to authorize the execution and delivery of each of the Canadian Prospectus Supplement, any Supplementary Material and any Marketing Documents and the filing thereof with the Commissions.
The Fund and the Investment Manager shall provide all Marketing Documents to the Sub-Adviser at least a reasonable period in advance of use for the Sub-Adviser’s review if such Marketing Document contains any changes to the Sub-Adviser Disclosure from a version that the Sub-Adviser had previously reviewed and approved.
The Corporation shall file a template version of such additional Marketing Documents with the Securities Commissions as soon as reasonably practicable after such Marketing Documents are so approved in writing by the Corporation and Canaccord and in any event on or before the day such Marketing Documents are first provided to any potential investor, and such filing shall constitute the Underwriters' authority to use such Marketing Documents in connection with the Offering.

Holdings shall also prepare, at its sole cost and expense, all marketing documentation (including, without limitation, brochures, advertisements, mailings and announcements) to be used in the implementation of the Marketing Plan or the generation of Additional Accounts (collectively, the "Marketing Documents").
