Approved OECD Country definition

Approved OECD Country means each of the countries listed on Exhibit E-1 hereto, as such Exhibit may be amended from time to time upon request of Ferro Corporation, with the prior written approval of the Purchaser and the Agent. Additionally, if the Agent removes any country from the Schedule of Approved OECD Countries attached to the Sale Agreement, such country will cease to be an Approved OECD Country hereunder and the Purchaser will immediately notify Ferro Corporation thereof.
Approved OECD Country means each of the countries listed on Schedule III-A hereto, as such Schedule may be amended from time to time upon request of the Seller or the Collection Agent, with the prior written approval of the Agent. Additionally, the Agent may remove countries from such Schedule at any time, as it determines in its sole discretion, upon prior written notice to the Seller and the Collection Agent.

Approved OECD Country means (a) each of Australia, Austria, Belgium, Canada, the Czech Republic, Denmark, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Italy, Japan, Korea, Luxembourg, Mexico, The Netherlands, New Zealand, Norway, Poland, Portugal, the Slovak Republic, Spain, Sweden, Switzerland, Turkey and the United Kingdom, and (b) each other country which hereafter becomes a member of the Organization for Economic Cooperation and Development of which the Borrower or the Collection Agent gives the Administrative Agent not less than 30 days’ prior written notice requesting its addition as an “Approved OECD Country,” in each of the foregoing cases described in clause (a) or (b) of this definition, unless and until the Administrative Agent otherwise advises the Borrower and the Collection Agent that such country’s approval has been withdrawn upon not less than three (3) Business Days’ written notice.
