Marked Materials definition

Marked Materials has the meaning set forth in Section 5.9.

Best Company on August 17, 2005, or any subsequent downgrades by any rating agency after the date of this Agreement; or (vi) the termination or notice of termination by the Purchaser or Harco National Insurance Company of the Cut Through Agreement other than as a result of (A) a material breach thereof by the Sellers or any member of the Company Group or (B) the directive by any Governmental Entity that the Cut Through Agreement be terminated.
