Upon termination of this Agreement, the Manager, at the request of the Board, agrees to continue to undertake the Manager’s Duties and provide Administrative Services in accordance with the terms of this Agreement for up to 180 days following such termination (the “Post-Termination Management Extension”).
The vacation leave taken by the Manager will be taken at such time or times as will least interfere with performance of the City Manager’s Duties.
Manager acknowledges that Manager’s Duties are unique and Manager has or will have during the Employment Period access to Company’s Trade Secrets and/or Confidential Information.
For full and timely performance of the Manager’s Duties the Manager shall receive a monthly credit of $ toward rent.
City Manager will devote full time and effort to the performance of the City Manager’s Duties and shall remain in the exclusive employ of the City during the term of this agreement; provided that, with the prior consent of the Board, City Manager may provide professional engineering services to third parties for compensation, provided this action does not interfere with the City Manager performing his duties hereunder.
Manager’s Duties include, but are not limited to the services described in Section 5 of this Agreement (the “Services”).
In performing its obligations and exercising its rights hereunder, Manager shall meet with the Property Owners, or if directed by the Property Owners, Owner, from time to time at Property Owners’ request to discuss matters hereunder relating to the Properties and Manager’s Duties.
The City shall pay or reimburse the City Manager for reasonable expenses incurred by the City Manager in the continuing performance of the City Manager’s Duties under this agreement.
