Managerial Remuneration definition

Managerial Remuneration means remuneration payable to the Directors in accordance with section 197 and 198 of the Companies Act, 2013 and excludes remuneration received in professional capacity, if the director possess the necessary qualification and services rendered are of professional nature.
Managerial Remuneration means remuneration paid to the Directors except sitting fees for attending the Board and Committee meetings.

Examples of Managerial Remuneration in a sentence

  • During the Management Period, Aquella Property Management shall pay Andara Resort a fee which represents the Managerial Remuneration and the Payroll Expenses.

  • The Board of Directors at their meeting held on 29th March, 2014 have appointed Mr. D.D. ▇▇▇▇▇ as a “Whole Time Director and Chief Financial Officer” of the Company for the period April 01, 2014 to September 30, 2014 and his remuneration is recommended by the Managerial Remuneration Committee by its Meeting dated 29th March, 2014.

  • For the avoidance of doubt, the Managerial Remuneration plus the Executive Team Fee payable to the Andara Resort during the Management Period shall not exceed THB 1,200,000 (equivalent to approximately HK$276,720), VAT included.

  • In the event of Managerial Remuneration payable to Andara Resort during the Management Period does not reach THB 1,200,000 million (equivalent to approximately HK$276,720), Aquella Property Management shall pay the difference as Executive Team Fee.
