Management Letters definition

Management Letters means any letter or report furnished by the Accountants to management of the Seller in connection with any Audit or otherwise describing findings or recommendations with respect to the accounting or management practices or procedures of the Seller and, including all reports submitted to the Seller by the Accountant in connection with any interim or special audit made by the Accountant
Management Letters shall have the meaning set forth in Section 3.7(a).
