Management Closing definition

Management Closing means October 1, 2000 on which, provided the Cash Closing has not occurred, the parties shall enter into a management agreement (the "Management Agreement") in order to bridge the delay resulting from the shareholder approval process. A copy of the Management Agreement is attached hereto as Exhibit D. Pursuant to the Management Agreement, Buyer shall manage Seller's pawn shop operations for an agreed upon fee.
