Managed Solution means Reseller's use of the Products or Services as an outsource or managed service provider for a single End User where Reseller retains title to the hardware and operates the Products located on Reseller's or End User's premises as a service to an End User or to be accessed by an End User in the operation of such End User's internal business. Managed Solution does not include provision of use of Products or Services to multiple End Users.

Managed Solution offers a means to have someone else provide oversight of your drivers and tell you when you have a potential problem. The system usually involves cellular service as well as monthly service fees and compensation to the service provider for their services, annual contracts may be required.

• Here’s a list of Managed Solution Activities (but not limited to the list below) that TAP performs regularly to maintain and support Customer solutions.

• The date on which the Vendor Managed Solution is implemented is referred to herein as the “Implementation Date.” During the time period that the Vendor Managed Solution is in effect, Konica Minolta shall pay Vendor the Management Fee set forth on the Software License and Services Fee Schedule.

• Unless Client otherwise provides direction to Client’s Baird Financial Advisor, Client’s Account will pursue an ALIGN 55ip Tax Managed Solution until such time that Baird in its discretion determines that the Account’s transition to the Target ALIGN Portfolio has been completed, at which time the Account will be automatically enrolled in the ALIGN Strategic Portfolios Program and 55ip’s tax management services will cease.

• The ACURUS Managed Solution is a complete service designed to address the demand for bundled services in a corporate environment, allowing businesses to outsource their external communications requirements.

• Within thirty (30) days after receipt of the Set-Up Fee, Vendor shall deliver to Konica Minolta the Documentation and shall implement the Vendor Managed Solution described on Schedule B attached hereto (the “Vendor Managed Solution” and also referred to as “Phase 1”), whereupon Konica Minolta may begin to re-license the Software to Customers in accordance with Section 4.

• Subject to the provisions of this Agreement, Company hereby grants to Licensee for the Term of this Agreement (as defined in 18.a below) a limited, nonexclusive, nontransferable United States license use the current object code version and release of the Emma2CRM Managed Solution Software provided by Company and Vendor (as defined below) and hosted at the Site (as defined below), in conjunction with the Services, for the purposes permitted by this Agreement.
