During the Agreement Term, MSP may use the Elastic Trademarks solely to identify the Cloud Service, and to promote the availability of the Cloud Service as part of the Managed Services Offering.
During the applicable Subscription Term for a Cloud Service, Elastic will provide MSP with Support Services for the applicable Managed Services Offering in accordance with the applicable Support Services Policy and the Subscription Level purchased by MSP.
In such cases, the Parties will, in good faith, mutually agree upon reasonable acceptance testing procedures and criteria with such Sublicensed Customer (or as between Allscripts and NantHealth in the case of a Managed Services Offering) and to determine a reasonable period during which the Party will remedy any defects.
Each party will provide reasonable assistance to the other with conducting acceptance testing, as needed and if requested by a Sublicensed Customer or NantHealth in connection with a Managed Services Offering.
In order to access, administer and maintain a Cloud Service for use in connection with a Managed Services Offering, MSP must first register for one or more account(s) (each an “Account”).
In the case of a Managed Services Offering, NantHealth will abide by the terms of the applicable Allscripts ▇▇▇▇ for the Allscripts Products and Services that are part of such Managed Services Offering, provided that the terms of this Agreement shall govern to the extent of any inconsistency between such ▇▇▇▇ and the terms of this Agreement.
The Subscription Level, the number of Billable Nodes and/or Resource Units and the Managed Services Offering for which the applicable Subscription was purchased, are set forth on the applicable Order Form entered into by Elastic and MSP for the purchase of the applicable Subscription.
Orders for Subscriptions may be placed by MSP through the execution of Order Forms with Elastic, setting forth the (i) Subscription Level, (ii) Subscription Term, (iii) Resource quantities, (iv) Managed Services Offering, (v) MSP Customer, and (vi) applicable fees (“Fees”), including the Annual MSP Program Fee as applicable.
Orders for Subscriptions may be placed by MSP through the execution of Order Forms with Elastic, setting forth the (i) applicable MSP Client, (ii) Subscription Level, (iii) Managed Services Offering, (iv) number of Billable Nodes and/or Resource Units for which MSP has purchased a Subscription, (v) Subscription Term, and (vi) total price for such Subscription.
MSP may use the Elastic Trademarks solely to identify the Commercial Software, and to promote the availability of the Commercial Software as part of the Managed Services Offering.
