  • Seller and Buyer hereby agree that all Acquired Managed Services Contracts shall be assigned and conveyed to Buyer by Seller pursuant to this Agreement on the Closing Date.

  • For purpose of this Agreement, the term “Completed Portion” shall mean an amount equal to all amounts paid or due from customers party to such Acquired Managed Services Contracts in respect of the month of July 2009 multiplied by a fraction the numerator of which is the number of days that have elapsed in July 2009 as of the Closing Date and the denominator of which is thirty (30).
