This Agreement has been duly executed by Meimoun & Mammon, and each related document required to be executed by Meimoun & Mammon will be duly executed by Meimoun & Mammon, and, when delivered to NXGH, shall constitute the legal, valid, and binding obligation of Meimoun & Mammon, enforceable against Meimoun & Mammon, in accordance with its terms.
Meimoun & Mammon has all requisite power and authority to enter into this Agreement and the transactions contemplated herein.
Interest shall accrue en the principal balance of the Not; from and after the effective date hereof until maturity, at a rate per annum which shall from day to day be equal to the lesser of (a) Contract Rate or (b) the Mammon Rate Notwithstanding anything else herein to the contrary, prior to en Event of Default., the Contract Rate shall never be less than 5.75% per annum.
