Makeup Amount Price definition
Makeup Amount Price means (i) with respect to a Change in Control, the price per share of Common Stock or Preferred Stock, as applicable, that the Management Stockholder would have received had the shares that were repurchased pursuant to the Call Right been sold or transferred in the Change in Control or (ii) with respect to an Initial Public Offering, the price per share to the public of the shares of Common Stock or Preferred Stock, as applicable, sold in the Initial Public Offering.
