Owner shall undertake in good faith to review the information provided by Contractor pursuant to this Section 2.4B expeditiously and shall notify Contractor of its decision to accept or reject a proposed Major Subcontractor as soon as practicable after such decision is made.
Developer shall retain, employ and utilize the firms and organizations specifically listed in the Project Management Plan to fill the corresponding Major Subcontractor positions listed therein.
After execution of such Subcontract, the Subcontract shall be considered a Major Subcontract and the Subcontractor shall be considered a Major Subcontractor.
Failure of Owner to accept or reject a proposed Major Subcontractor within ten (10) Business Days shall be deemed to be an acceptance of such Major Subcontractor, but Owner’s acceptance of a proposed Major Subcontractor shall in no way relieve Contractor of its responsibility for performing the Work in compliance with this Agreement.
Buyer shall have the right to reject any such Major Subcontractor so long as a reasonably comparable subcontractor located outside of Asia is identified as capable of performing the relevant scope of supply, and in such event Seller shall not enter into a subcontract with the Asia-based entity.
Contractor shall not enter into any Major Subcontract with a proposed Major Subcontractor that is rejected by Owner in accordance with the preceding sentence.
Owner shall have the discretion, not to be unreasonably exercised, to reject any proposed Major Subcontractor not listed on Attachment G for a Major Subcontract.
DB Contractor shall require each Major Subcontractor to submit to DB Contractor a copy of all documentary information used in determining its Subcontract price (including the price for Subcontract work included in any Change Order), immediately prior to executing the Subcontract and each Subcontract change order, to be held in the same manner as the EPDs and which shall be accessible by TxDOT, DB Contractor and Dispute resolvers, on terms substantially similar to those contained herein.
Such partial waiver of liens shall be to the extent of payments made by Purchaser to Seller with respect to each applicable Major Subcontractor.
Seller shall cause each Major Subcontractor to provide Purchaser with a lien waiver in the appropriate form in Attachment 5 (“Lien Waiver Forms”) at the time of each Application for Payment through the last payment received by Seller and upon completion of the Work.
