Major Issue definition

Major Issue means a question or decision which, alone or in the aggregate with related questions or decisions, would have or would reasonably be expected to have a financial impact of more than $1,000,000 on the operations, finances, capitalization or strategic direction of Holding Company or any of its Subsidiaries, other than as set forth in any plan of operation or annual budget or business plan which has been approved by the board of directors of Holding Company.
Major Issue shall be settled by arbitration in accordance with the Rules of the American Arbitration Association (the "AAA Rules") and the Federal Arbitration Act. The determination of the arbitrator shall be expedited to the fullest extent possible, consistent with the AAA Rules, and such determination shall be deemed final. In the event arbitration is invoked as provided herein, the time periods set forth below for the conduct of the Auction shall not begin to run until after the arbitrator's decision is received by the parties.
Major Issue shall have the meaning set forth in Section ‎7.1.4.

Examples of Major Issue in a sentence

  • All of the documents to be delivered by the Seller pursuant to Section ‎4.2.1 above shall have been executed and delivered to the Buyer at or prior to the Closing Date, which includes the delivery of the Disclosure Schedule and all other schedules which are required to be annexed hereto as of the Closing, the lack of which would constitute a Major Issue.

Major Issue means any issue that affects the functionality of the Software Products but does not cause severe disruption to the Customer's operations.
Major Issue which means any of the following conditions: (A) a history of fire or flood exposure or damage; (B) the vehicle will not start; (C) structural damage (or the structure of the vehicle has been altered or repaired); (D) modified or aftermarket (i.e., non‐OEM) suspension (or a suspension that requires repair); (E) TMU (“true miles (kilometers) unknown” or “not actual miles (kilometers)” or for which the true odometer reading is unknown); (F) existing damage caused by collision to three or more panels; (G) at least one exterior body panel is missing; (H) a suspected major engine, transmission or drivetrain problem (e.g., engine is knocking or vehicle will not move); (I) modified or aftermarket (i.e., non‐OEM) exhaust or emission system; or (J) for electric and hybrid vehicles only, a suspected issue with the battery that powers the propulsion of the vehicle (e.g., an abnormal charge capacity reading).
Major Issue means any Issue in which the Service is significantly impaired and unavailable from multiple ISPs (e.g., a situation where one or more of the customer’s websites are inaccessible to End Users in multiple geographies).
