In such stores, the B&M Group shall use its commercially reasonable efforts to: (i) provide priority to the Major Brands in relation to the other jewelry brands offered in such stores, other than products under the Birks brand, the whole provided that the provision of such priority to Damiani Products would not jeopardize the B&M Group’s sales or such individual store’s existing business, and (ii) promote and display the Damiani Products consistent with the B&M Group’s existing display standards.
The following shall be deemed to constitute “Major Brand Assets”: any tangible or intangible assets or property (including trademarks, trade names, trade dress and other intellectual property rights) and contract or other rights owned, used or held for use by ABI, the Company, Crown JV or any of their respective Subsidiaries primarily in connection with, or otherwise to the extent primarily relating to, the manufacture, marketing, sale and/or distribution of any product(s) sold under any Major Brand(s).
Contacts relating to Content, products or services offered by Provider or the Major Brands, or the use of the application within the Content domain, shall be handled by Provider.
The B&M Group and Damiani jointly decided on the mix within each category of Major Brands and Minor Brands jewelry that is purchased by the B&M Group from Damiani as contained in the purchase order worksheets attached and pursuant to this provision of the Agreement.
