MailTec Common Shares means the shares of common stock in the capital of MailTec;

At the Effective Time by virtue of the transactions contemplated hereunder and without any action on the part of the holders of any ProVision Options, each ProVision Option that is issued and outstanding immediately prior to the Closing Date, whether or not then exercisable, will be assumed by MailTec and converted automatically into an option to purchase two (2) MailTec Common Shares (“Assumed Options”).
Each Assumed Option will continue to have, and be subject to, the same terms and conditions set forth in the ProVision Option Plan and the agreements evidencing the grant thereof immediately prior to the Closing Date, including provisions with respect to vesting, except that they shall be exercisable for two (2) of MailTec Common Shares.
