The Bylaws of Mail-Well, as in effect immediately prior to the Effective Time, shall be the Bylaws of the Surviving Corporation.
The Certificate of Incorporation of Mail-Well, as in effect immediately prior to the Effective Time, shall be the Certificate of Incorporation of the Surviving Corporation.
