Notwithstanding the foregoing, a Change of Control shall not be deemed to occur if the Person described in clause (i), (ii) or (iii) is Magten Asset Management Corp.

The basic terms and conditions of the Restructuring as agreed among the Parties are set forth in the Summary of Terms and Conditions (the "Term Sheet") attached hereto as Exhibit A (including Annex I attached hereto), which is incorporated herein and made a part of this Letter Agreement (it being agreed that neither Magten nor Apollo expresses any opinion as to the accuracy of any of the information set forth on Annex I to the Term Sheet, including, without limitation, the enterprise value of Salant).
