Macy s” means Macy’s, Inc. Macy’s is the sponsor of this Plan. Prior to June 1, 2007, Macy’s was named Federated Department Stores, Inc., and the change to Macy’s, Inc. represented only a change in name.
Macy s Stock Fund” means the Investment Fund that is described in Section 7B.2 below as the Macy’s Stock Fund. The Macy’s Stock Fund is designed to invest primarily in common shares of Macy’s.
Macy s” means Macy’s, Inc. (and, except for purposes of determining whether a Change in Control has occurred, any legal successor to Macy’s, Inc. that results from a merger or similar transaction).

Macy s Immediate Prior Plan” means and refers to the Macy’s, Inc. Profit Sharing 401(k) Investment Plan (or, as it had been named, the Federated Department Stores, Inc. Profit Sharing 401(k) Investment Plan) as in effect from January 1, 1997 through August 31, 2008, which plan is a Prior Plan that is restated by this Plan document effective as of the Effective Amendment Date.
Macy s Annual Incentive Plan” means the incentive compensation plans that are maintained by the Company and under which annual performance-based compensation awards are made to executives of the Company, as such plans are in effect as of the Effective Date and as they may be amended or added after such date. As of the Effective Date, such plans include the Senior Executive Incentive Compensation Plan and the Incentive Compensation Plan (both of which are maintained by Macy’s).
Macy s 401(k) Plan” means the Macy’s, Inc. 401(k) Retirement Investment Plan, as such plan is in effect as of the Effective Date and as it may be amended after such date. The Macy’s 40l(k) Plan is intended to be a tax-qualified plan under Section 40l(a) of the Code and generally permits Employees to elect to make contributions to such plan from their pay and provides for the Company to make matching contributions (contributions that are made in relation to the elective contributions of Employees) to such plan.
Macy s” shall mean Macy’s Retail Holdings, Inc., Macy’s Puerto Rico, Inc., Macys.com, Inc., or any Affiliate of any of the foregoing.
Macy s Tri-Party Agreement” shall mean that certain letter agreement to be entered into pursuant to the Post-Closing Letter by and among Borrowers, Guarantors, Macy’s, and Agent.
Macy s” means, collectively, Macy’s Inc. (formerly known as Federated Department Stores, Inc.) and any successor thereto.
Macy s” means any division or subsidiary or operat- ing unit or entity related to Macy’s, Inc.
