M&A Bonus definition

M&A Bonus means a lump sum cash (except as provided below) payment equal to the greater of (i) Employee’s Pro Rata Share of $1 million and (ii) Employee’s Pro Rata Share of 5% of the Gross Value of the aggregate consideration received in an M&A Transaction. The M&A Bonus will be paid to Employee on the M&A Transaction closing date. Notwithstanding the foregoing, in the event that the proceeds from the M&A Transaction consist entirely of equity consideration payable to the Company, Employee agrees, at the Company’s or the surviving corporation’s option, to take 50% of the M&A Bonus in cash and 50% of the M&A Bonus in the equity received by the Company’s stockholders if the Company or surviving corporation is permitted to transfer such equity to Employee.

Examples of M&A Bonus in a sentence

  • The Special Bonus consists of a Qualified Public Offering Bonus and an M&A Bonus.

  • In the event that the Company is acquired in a transaction, you shall be eligible for a transaction bonus (the “M&A Bonus”) according to the following schedule: $60,000,000-$199,999,999 0.5% of Acquisition Price $200,000,000 or greater 1% of Acquisition Price For purposes of the calculation of your M&A Bonus, if any, the “Acquisition Price” shall mean the total amount of money (all-in cost) to be paid by an acquirer of the Company.

  • The M&A Bonus shall be payable in cash at the time that the business sale or business purchase is consummated.

  • If a purchase or sale transaction triggers a Change of Control Event, as defined in Paragraph 2(f) below, the M&A Bonus and the Change of Control Bonus under Paragraph 2(f) shall not be both paid, only the larger of M&A Bonus or the Change of Control Bonus would be due from the Company to the Employee.

  • In the event that you are entitled to an M&A Bonus of either 1% of the Acquisition Price, and the amount of your M&A Bonus, combined with the reasonable banker fees borne by the Company in the underlying transaction, equate to 7% or more of the Acquisition Price, then your M&A Bonus shall be reduced to the amount equal to 0.5% of the Acquisition Price.

  • In the event that the Company is acquired in a transaction, you shall be eligible for a transaction bonus (the “M&A Bonus”) according to the following schedule: $60,000,000-$199,999,999 1% of Acquisition Price $200,000,000 or greater 2% of Acquisition Price For purposes of the calculation of your M&A Bonus, if any, the “Acquisition Price” shall mean the total amount of money (all-in cost) to be paid by an acquirer of the Company.

  • Upon the achievement by the Company of an M&A Transaction, and as long as Employee has maintained continuous employment with the Employer or the Company from the Effective Date hereof through the payment date of any M&A Bonus (except as otherwise provided in Section 2.d. below), Employee shall be entitled to receive the M&A Bonus.

  • The M&A Bonus, if any, shall be paid within thirty (30) days of the closing of the acquisition transaction, and no later than March 15 of the year following the year in which the M&A Bonus is earned or accrued.
