LUCENT GROUP definition

LUCENT GROUP means, with respect to federal income Taxes, the affiliated group of corporations (as defined in Section 1504(a) of the Code) of which Lucent is a member and, with respect to state income or franchise taxes, the consolidated, combined or unitary group of which Lucent or any of its Affiliates is a member. For purposes of this Agreement, the Lucent Group shall not include the Acquired Companies.

The ECC shall not include Contractor’s Pre-Construction Phase Fee, A/E’s Fees, the cost of the land and rights-of-way, or any other costs that are the direct responsibility of Owner.
