LP Cash Flow definition

LP Cash Flow means, for any period for the Operating Partnership and its Consolidated Subsidiaries, the sum (determined on a consolidated basis in accordance with GAAP and without duplication) of the following: (a) all rental revenue and operating income (including, without limitation, actual rental income and other income, base rents, percentage rents, common area maintenance, charges, property tax recoveries, insurance recoveries, Consumer Price Index rent adjustments and other miscellaneous income items) received by the Operating Partnership and its Consolidated Subsidiaries from the ownership and operation of any Property during such period (but excluding income from advance payments, deposits, escrows or a sale or other capital item transaction), plus (b) depreciation and amortization (to the extent deducted in determining rental revenue and operating income), minus (c) all LP Property Expenses incurred by the Operating Partnership and its Consolidated Subsidiaries during such
