Lower Cap definition

Lower Cap has the meaning set forth in Section 7.4(a).
Lower Cap shall have the meaning set forth in Section 9.1(b)(iii).
Lower Cap means Four Million Five Hundred Thousand Dollars ($4,500,000.00).

Examples of Lower Cap in a sentence

  • Upon Tenant’s delivery of such information, Guarantor’s liability under this Guaranty shall be deemed reduced to and shall not exceed the Lower Cap, effective as of the date Tenant achieved the EBITDA Guarantor Condition.

  • Lower Strike Price Differential: For each Valid Day during the Averaging Period, the sum of: (A)(1) the Number of Cap Units, multiplied by (2) the lesser of (a) the greater of (x) the Reference Price, minus the Lower Strike Price and (y) zero and (b) the Lower Cap Price, minus the Lower Strike Price; plus (B)(1) the Number of Units minus the Number of Cap Units, multiplied by (2) the greater of (a) the Reference Price, minus the Lower Strike Price and (b) zero.

  • Immediately upon the payment of the Lower Cap Premium or Upper Cap Premium, as applicable, of the exercised Warrant being paid to such Holder, such Holder shall be deemed to have transferred the Lower Capped Shares or the Upper Capped Shares, as the case may be, to Trident Exploration in consideration of Trident Exploration (i) cancelling as fully paid the relevant Exercise Price Loan; and (ii) paying the Lower Cap Premium or Upper Cap Premium, as applicable, to such Holder.

  • The Exercise Price Per Warrant, the number of Lower Capped Warrants and Upper Capped Warrants issued to the Holders, and the Upper Cap Premium and Lower Cap Premium, are subject to adjustment from time to time upon the occurrence of the events and in the manner provided for in this Article 4.
