Lower Band definition

Lower Band means the amount in the currency specified in the Issue Terms.
Lower Band means $950,000.
Lower Band and “Higher Band” shall be defined as follows: (i) if the Closing occurs on or before 11:59 p.m., Central time, on December 30, 2019, the Lower Band shall mean an amount equal to $10,000,000 and the Higher Band shall mean an amount equal to $11,000,000; (ii) if the Closing occurs after 11:59 p.m., Central time, on December 30, 2019 but on or prior to 11:59 p.m., Central time, on March 1, 2020, (A) the Lower Band shall mean an amount equal to $10,000,000 plus (x) $49,180 multiplied by (y) each calendar day that has commenced since 12:01 a.m., Central time, on December 31, 2019 (up to a maximum of sixty-one (61) calendar days), and (B) the Higher Band shall mean the amount described pursuant to preceding clause (A) plus $1,000,000; and (iii) if the Closing occurs after 11:59 p.m., Central time, on March 1, 2020, the Lower Band shall mean an amount equal to $13,000,000 and the Higher Band shall mean an amount equal to $14,000,000. An illustrative calculation of the Estimated Inventory Adjustment is included in Schedule A. The adjustment to the Purchase Price payable at the Closing pursuant to this Section 2.05(b), taking into account the Estimated Inventory Shortfall or the Estimated Inventory Excess, as applicable, is the “Estimated Inventory Adjustment” (which shall be a negative number if an Estimated Inventory Shortfall and a positive number if an Estimated Inventory Excess). If there is no Estimated Inventory Shortfall or Estimated Inventory Excess, the Estimated Inventory Adjustment shall be zero (0).

Examples of Lower Band in a sentence

  • The parties specifically agree that the Transition plan for the License shall specify use of *** technology for spectrum in the Lower Band Segment and the Upper Band Segment (and, if possible, the Middle Band Segment), or whatever other technology Operator may choose.

  • Under no circumstances shall Licensee be required to consent to any channel swap of an Upper Band Segment channel or Lower Band Segment channel for a Middle Band Segment channel, or to any swap under which the swapped channels provide less contiguous spectrum than the Channels provide as configured after giving effect to the Transition.

  • Notwithstanding anything to the contrary in this Agreement and Exhibit D, in no event shall BUYER’s committed purchase volumes for the Initial Commitment Period fall below the Lower Band set forth in Exhibit D to this Agreement.

  • The parties specifically agree that the Transition plan for the License shall specify use of Time Division Duplexing ("TDD") technology for spectrum in the Lower Band Segment and the Upper Band Segment (and, if possible, the Middle Band Segment), or whatever other technology Operator may choose.

  • The term "Airtime" as used in this Agreement means all the capacity on the Channels, including all of Licensee's capacity in the Lower Band Segment, Middle Band Segment, and Upper Band Segment, all subcarriers, subchannels, blanking intervals, second audio carriers, guardband and any other spectrum, capacity, rights or transmission medium associated with the Channels, as the same exists today and as may be granted to Licensee by the FCC during the Term.

  • Annually, the City will reconcile the actual amounts collected and adjust the City Annual Contribution based on the Upper Band (percentage above budget) and Lower Band (percentage below budget) for each of the following: Sales Tax 3.0% -2.0% Use Tax 6.0% -2.0% Property Tax 2.0% -2.0% If any of the individual actual tax revenue amounts collected are material changes to the City Sales & Use Tax and City Property Tax April projectionswithin the band range, no adjustment is necessary.
