LOSING BIDDER means any Person and that Person's Affiliates, other than the Buyer and the Buyer's Affiliates, which submitted, or was furnished with the Bidding Procedures by or on behalf of the Special Committee for the purpose of submitting, an Acquisition Proposal pursuant to the Bidding Procedures, which shall include for the avoidance of doubt Ladd Cap Partners, L.P., Salvatore Muoio and their respective Affili▇▇▇▇.
