Longstop Effective Date definition
Longstop Effective Date means the first anniversary of the execution of this Agreement (as may be extended in accordance with the provisions of Clause 9.4).
Longstop Effective Date means the date falling [ ] days after the Signature Date (as may be extended in accordance with the provisions of Clause 16.2.5 (Consequences of Force Majeure)).
Longstop Effective Date means the date falling 6 months after the PDA Execution Date.

Where a Party fails to meet the conditions precedent and has not obtained a waiver from the other Party by the Longstop Effective Date this Agreement shall automatically terminate and the Parties shall be discharged from any further obligations and liabilities under this Agreement.
