Long-Term Commitment definition

Long-Term Commitment means, with respect to each Lender, the amount set forth opposite such Lender's name under the heading "Long-Term Commitment" in Annex I hereto, as the same may be reduced from time to time pursuant to Section 3.02, 3.03, 9 and/or 12.04(b)(A).
Long-Term Commitment means, with respect to each Lender, the commitment of such Lender to make Long Term Revolving Loans hereunder as set forth on SCHEDULE 2.01(b) hereto, or in the Assignment and Acceptance pursuant to which such Lender assumed its Long Term Commitment, as applicable, as the same may be (a) increased from time to time pursuant to the terms of Section 4.03 hereof, (b) reduced from time to time pursuant to (i) Section 2.10 hereof, (ii) Section 2.20 hereof, (iii) the amount of Letters of Credit issued under the Long Term Commitment in accordance with Section 2.21 hereof, and (iv) the amount of Competitive Loans issued under the Long Term Commitment in accordance with Sections 2.02 and 2.03 hereof and (c) reduced or increased from time to time pursuant to assignments by or to such Lender pursuant to Section 9.04 hereof.
Long-Term Commitment means the commitment for aid or activities with the duration from 05 (five) years or longer.

  • For the purposes of calculating the Long-Term Commitment Fee, the amount outstanding under the Swingline Loans shall not be included in calculating any Lender's Ratable Share of Total Utilization relating to its Long-Term Revolving Credit Commitment.
