Long-Term Commitment definition

Long-Term Commitment means, with respect to each Lender, the amount set forth opposite such Lender's name under the heading "Long-Term Commitment" in Annex I hereto, as the same may be reduced from time to time pursuant to Section 3.02, 3.03, 9 and/or 12.04(b)(A).
Long-Term Commitment means, with respect to each Lender, the commitment of such Lender to make Long Term Revolving Loans hereunder as set forth on SCHEDULE 2.01(b) hereto, or in the Assignment and Acceptance pursuant to which such Lender assumed its Long Term Commitment, as applicable, as the same may be (a) increased from time to time pursuant to the terms of Section 4.03 hereof, (b) reduced from time to time pursuant to (i) Section 2.10 hereof, (ii) Section 2.20 hereof, (iii) the amount of Letters of Credit issued under the Long Term Commitment in accordance with Section 2.21 hereof, and (iv) the amount of Competitive Loans issued under the Long Term Commitment in accordance with Sections 2.02 and 2.03 hereof and (c) reduced or increased from time to time pursuant to assignments by or to such Lender pursuant to Section 9.04 hereof.
Long-Term Commitment means the commitment for aid or activities with the duration from 05 (five) years or longer.

  • For the purposes of calculating the Long-Term Commitment Fee, the amount outstanding under the Swingline Loans shall not be included in calculating any Lender's Ratable Share of Total Utilization relating to its Long-Term Revolving Credit Commitment.

  • The amount of each Borrowing of Revolving Loans made available by a Lender (other than a Non-Extending Lender) prior to its First Maturity Date shall be applied as a utilization of the Short-Term Commitment and Long-Term Commitment of such Lender on a pro rata basis (based upon the relative amounts of the Short-Term Commitment and the Long-Term Commitment of such Lender, in each case as in effect immediately prior to giving effect to such Borrowing).

The original aggregate amount of the Tranche B Term Commitments is $1,750,000,000.

  • Initial Term Commitment means, as to each Term Lender, its obligation to make an Initial Term Loan to the Borrowers pursuant to Section 2.01(a) in an aggregate amount not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 (as in effect on the Closing Date) under the caption “Initial Term Commitment,” as such amount may be adjusted from time to time in accordance with this Agreement. The initial aggregate amount of the Initial Term Commitments is $350,000,000.

  • Tranche A Term Commitment as to any Lender, the obligation of such Lender, if any, to make a Tranche A Term Loan to the Borrower on the Incremental Facilities Closing Date in a principal amount not to exceed the amount set forth under the heading “Tranche A Term Commitment” opposite such Lender’s name on Schedule 1.1A. The original aggregate amount of the Tranche A Term Commitments is $20,000,000.

  • Other Term Commitments means one or more Classes of term loan commitments hereunder that result from a Refinancing Amendment.

  • Incremental Term Commitment means, with respect to any Lender, the commitment, if any, of such Lender, established pursuant an Incremental Facility Agreement and Section 2.21, to make Incremental Term Loans of any Series hereunder, expressed as an amount representing the maximum principal amount of the Incremental Term Loans of such Series to be made by such Lender.
