Logistics Plan shall have the meaning set forth in Section 22.5 hereof.

Logistics Plan means a Project logistics plan for successful completion of the Project delivered on or prior to the First Advance Date.

• Analyze site and building design parameters, evaluate and prepare preliminary Site Logistics Plan (demolition, utilities, construction areas, staging areas, etc.) for review with project team.

• Once approved, the parties shall comply in good faith with the Logistics Plan.

• The Logistics Plan shall include, without limitation, protocols with respect to utilities shutoff notifications, access and security procedures, location of laydown areas, mitigation of construction noise and dust, onsite monitoring and feedback by Tenant’s authorized representatives with respect to the Landlord Work and a right of entry for Landlord to complete Punch List items.

• The parties shall use commercially reasonable efforts to negotiate, and mutually agree upon, an approved Logistics Plan on or before the Commencement Date.
