LOCAP definition

LOCAP means LOCAP Inc., a Delaware corporation.
LOCAP has the meaning set forth in the recitals.
LOCAP means LOCAP LLC, a Delaware limited liability company.

  • The provisions of clause (ii) of this paragraph (c) shall not apply to Guarantees of Indebtedness of LOCAP LLC, LOOP LLC, ▇▇▇▇▇▇▇ Coastal Partners, LLC or any of their respective Subsidiaries in the event that any such Person becomes a subsidiary after the Closing Date.

  • The Capline Pipeline, Exxon Mobil Pipeline--SOLA 24”, Exxon Mobil Pipeline--North Line, LOCAP Pipeline, and any other pipeline to which the Parties agree that Customer’s Product may be delivered from the Terminal from time-to-time (individually, a “Delivery Pipeline” and collectively, the “Delivery Pipelines”) may each publish and impose minimum specifications on Product that they receive from terminals.

  • Throughout the Term, in accordance with the term of this Agreement and subject to the direction(s) of Customer, Terminal Company will receive Customer’s Product at or within the Terminal by: (a) Vessel, through the use of the one (1) ship berth and the two (2) barge berths located within the Terminal; (b) the Ship Shoal Pipeline, the ExxonMobil Empire Pipeline, and the LOCAP Pipeline; and (c) any other means to which the Parties agree from time-to-time.

  • Accurate copies of all books and records, including but not limited to minute books and equity record books of each of Mars, Explorer, LOCAP, Odyssey and Triton, maintained by, or made available to, any of the Sellers with respect to Mars, Explorer, LOCAP, Odyssey, Triton and the Subject Interests have been made available for inspection to SHLX.

  • Mars, Explorer, LOCAP, Odyssey and Triton each owns or has the right to use all Intellectual Property necessary for or used in the conduct of their respective businesses as currently conducted, and, to the Knowledge of SPLC and the Knowledge of SOPUS, respectively, Mars, Explorer, LOCAP, Odyssey and Triton’s products and services do not infringe upon, misappropriate or otherwise violate any Intellectual Property of any third party.

  • To have and to hold the LOCAP Shares unto MPL, its successors and assigns, forever.

  • The parties will use commercially reasonable efforts to agree upon an allocation of the Consideration to the Subject Interests and further among the Mars Assets, the Explorer Subject Interests, the LOCAP Subject Interests, the Odyssey Assets and the Triton Assets for U.S. federal income tax purposes in compliance with the principles of Section 1060 of the Code, and the Treasury Regulations thereunder, and Treasury Regulation Section 1.755-1, as applicable.

  • None of the Sellers or any of their respective Affiliates has entered (directly or indirectly) into any agreement with any Person that would obligate either SHLX, Operating or any of their respective Affiliates, Mars, Explorer, LOCAP, Odyssey or Triton, to pay any commission, brokerage or “finder’s fee” or other similar fee in connection with this Agreement or the other Transaction Documents or the Transactions contemplated hereby or thereby.

  • Onshore means all facilities except those that are located in the territorial seas or on the outer continental shelf.
