Site Control: Seller shall maintain site control of the Facility throughout the Delivery Term.
Local Workforce. Unless such requirement would conflict with any state or federal law or regulation applicable to the ESA: Seller certifies, as set forth at Exhibit Q, to take such commercially reasonable measures to ensure that at least XX percent (XX%) of the construction work hours from its workforce (including contractors and subcontractors) providing construction-related work and services at the Site, as measured during the period beginning on the Construction Start Date ending on the Commercial Operation Date, are qualified individuals, who for at least one (1) year prior to execution of this Agreement, have residents of the Counties of Santa Xxxx, Monterey, San Xxxxxx, San Xxxx Obispo, or Santa Xxxxxxx (the “Local Workforce Requirement”). Seller’s construction of the Facility shall also be subject to any local hiring requirements specific to the city or town where the Facility is located.
