The Special Funding Account is being established for the sole purpose of providing Seller funding for Eligible Assets in an amount exceeding its Loan Threshold Amount and that is not funded through New Advances (a “Qualified Utilization”).
If the aggregate amount of the increases in the Commitments received from the Lenders does not equal or exceed the amount of the increase in the Revolving Loan Threshold Limit requested by Administrative Borrower, Administrative and Collateral Agent may, after consultation with Administrative Borrower, seek additional increases from Lenders or Commitments from such Eligible Transferees as it may determine, each of which shall be reasonably acceptable to Administrative Borrower.
Notwithstanding the foregoing, in the case of a claim arising out of a breach of, or inaccuracy in, the representations and warranties set forth in Section 3.01(q) (a "Branch Loan Claim"), no Branch Loan Claim may be made, unless and until the total amount of all claims for indemnification by Buyer under Section 8.03(a)(i) exceed $50,000 (the "Branch Loan Threshold"), and then only as to the amount by which a Branch Loan Claim exceeds the Branch Loan Threshold.
Any such written request shall specify the amount of the increase in the Revolving Loan Threshold Limit that Borrowers are requesting, provided, that, (i) in no event shall the aggregate amount of any such increase in the Revolving Loan Threshold Limit cause the Revolving Loan Threshold Limit to exceed $500,000,000, (ii) such request shall be for an increase of not less than $20,000,000, and (iii) in no event shall there be more than four (4) such increases during the term of this Agreement.
If during any month the average daily Revolving Exposure for any day of the month does not equal the aggregate Revolving Commitments, then Borrowers must pay to the Administrative Agent, for the account of each Lender, a fee at a rate per annum equal to the Applicable Unused Facility Fee Percentage multiplied by the amount that the aggregate Revolving Commitments exceeds the greater of (x) that day’s Revolving Exposure or (y) the Loan Threshold at such time.
