Drawdown Notice means a notice in the form set out in Schedule 2 (or in any other form which the Agent approves or reasonably requires);
Drawdown means the drawdown of a Tranche under the Loan Facility;
Drawdown Request means a notice substantially in the form set out in Schedule 3 (Drawdown Request).
Borrowing Notice is defined in Section 2.8.
Notice of Drawdown means a notice substantially in the form set out in Schedule 4 (Notice of Drawdown).
Draw Down Notice shall have the meaning assigned to such term in Section 5.1(f) hereof.
Term Loan Advance and “Term Loan Advances” are each defined in Section 2.1.1(a).
Loan Advance The meaning specified in Section 2.2(a).
Facility A Loan means a loan made or to be made under Facility A or the principal amount outstanding for the time being of that loan.
Loan Request means a letter in substantially the form of Exhibit A hereto executed and delivered by the Borrower to the Administrative Agent and the Lenders pursuant to Section 2.02(a).
Incremental Loan Request has the meaning set forth in Section 2.14(a).
Notice of Borrowing has the meaning specified in Section 2.02(a).
Notice of Loan Prepayment means a notice of prepayment with respect to a Loan, which shall be substantially in the form of Exhibit 2.05 or such other form as may be approved by the Administrative Agent (including any form on an electronic platform or electronic transmission system as shall be approved by the Administrative Agent), appropriately completed and signed by a Responsible Officer.
Notice of Loan means a Notice of Loan in the form of the attached Exhibit D.
Swing Line Borrowing Notice is defined in Section 2.4.2.
Utilisation Request means a notice substantially in the form set out in Part I of Schedule 3 (Requests).
Drawdown Date means, in relation to each Advance, any date being a Banking Day falling during the relevant Drawdown Period, on which the relevant Advance is, or is to be, made available;
Term Advance has the meaning specified in Section 2.01(a).
Swing Loan Request means a request for Swing Loans made in accordance with Section 2.5.2 [Swing Loan Requests] hereof.
Borrowing means Loans of the same Type, made, converted or continued on the same date and, in the case of Eurodollar Loans, as to which a single Interest Period is in effect.
Notice of Committed Borrowing has the meaning specified in Section 2.02(a).
Revolving Loan Notice means a notice of (a) a Revolving Borrowing, (b) a conversion of Revolving Loans from one Type to the other, or (c) a continuation of Revolving Loans as the same Type, pursuant to Section 2.02(a), which, if in writing, shall be substantially in the form of Exhibit A.
Facility B Loan means a loan made or to be made under Facility B or the principal amount outstanding for the time being of that loan.
Borrowing Date any Business Day specified by the Borrower as a date on which the Borrower requests the relevant Lenders to make Loans hereunder.
Initial Advance means the first Advance made pursuant to Article II.
Revolving Credit Extension Request shall have the meaning provided in Section 2.14(f)(ii).
