Upon the occurrence of any Event of Default or if Trustor fails to make any payment or to do any act as herein provided, Beneficiary may, but without any obligation to do so and without notice to or demand on Trustor and without releasing Trustor from any obligation hereunder, make or do the same in such manner and to such extent as Beneficiary may deem necessary to protect the security hereof.
Section 2.3 ConocoPhillips hereby gives Calumet joint use with ConocoPhillips of the Loading Facilities for the Term.
Seller is required to be available to load coal at any time, twenty-four (24) hours a day, seven (7) days a week, at Seller's Loading Facilities.
SELLER warrants that Coal samples will be taken in accordance with ASTM standards at the Loading Facilities.
Notwithstanding the foregoing provisions of this Section 8.5, Seller shall bear all expenses and costs associated with the delivery of coal to, and the loading of coal into railcars at, Seller's Loading Facilities and shall indemnify Purchaser against all claims, demands, actions, suits, liabilities, and judgments related to such delivery and loading of coal under this Agreement.
Section 17.2 If as a result of governmental rules, regulations, or orders it becomes necessary to make improvements, alterations, or additions to the LVT Facilities or Loading Facilities during the Term of this Agreement in order for the LVT Facilities to produce Calumet’s Solvents, ConocoPhillips shall cooperate with Calumet to make such alterations, additions, and modifications.
Seller will be responsible for payment of all charges imposed by ▇▇▇▇▇'s rail carrier ("Rail Carrier") resulting from Seller's non-compliance with the Carrier Specifications, including but not limited to, demurrage charges incurred at Seller's Loading Facilities and for any under-loading or over-loading charges incurred plus other reasonable administrative expenses related to such charges.
Section 4.6 Loading Facilities charges include costs for loading rail cars, supervising common carrier truck loading and maintaining and repairing both the rail rack and truck rack as shown in the examples set forth in Exhibit F.
The train will be returned to BUYER at any of SELLER's Loading Facilities within 6 days of the rejection notice.
