LMS Software definition

LMS Software means Contractor’s proprietary learning management system and other software access provided in connection with Subscription Services, including the Documentation, modifications, enhancements and new versions thereof.
LMS Software means Comverge proprietary software that controls Comverge Load Control Devices.
LMS Software means the online LMS software provided by the Supplier as part of the LMS Services. LMS Successive Term shall have the meaning given to it in clause 13.1. LMS Term the LMS Initial Term and any LMS Successive Term. Quotation the Quotation to which these Conditions are attached. Relevant LMS Period Supplier means the LMS Initial Term or the LMS Successive Term. KASCADE is a trading name of ComputerWorld (Systems) Limited whose registered number is 04625112 and whose registered office is at Apex House, ▇▇▇▇▇▇ Drive, Westerleigh Business Park, Bristol, BS37 5YX. Throughout this Agreement, references to Kascade shall also include Computerworld (Systems) Limited. Computerworld (Systems) Limited and Kascade are used interchangeably to represent our business and services. UK GDPR has the meaning given to it in section 3(10) (as supplemented by section 205(4)) of the Data Protection Act 2018. User Subscription the user subscriptions purchased by the Customer pursuant to clause 8.1 which entitle Authorised Users to access and use the LMS Services in accordance with this Agreement. Virus any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re- arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.

Examples of LMS Software in a sentence

  • In case a Customer places an order for LMS Software and Hardware on the same LSDA and notwithstanding any other provision of this Agreement, the delivery terms described in this Section shall prevail for that entire combined order, unless expressly agreed otherwise in that LSDA.

  • Comverge shall enable the LMS Software and load management control center to automatically control the Carrier Load Control Devices.

  • The LMS Software shall include Comverge’s LMS Server and networking equipment, and third party software.

  • Sellers hereby grant to Purchaser a perpetual, non-exclusive, royalty-free license to use in connection with the Business any Proprietary LMS Software (as defined below), solely in a manner consistent with the past practices of the Business prior to the Closing Date, it being understood that this Section 6.10 at no time shall be construed in any manner to require either Seller to sub-license all or any portion of any third-party software to Purchaser (the "LMS License").

  • In such a case, the Council shall, with the exception noted in paragraph 3, take its decision by a majority of two-thirds of the Members present and voting.

  • It is generally contemplated that all LMS Software, including, without limitation, field applications, or other proprietary licensed products, utilized and/or necessary for the performance of and receipt of Demand Reduction from Comverge Load Control Devices (collectively, the “Software”) shall be used by and run on the hardware systems owned by Comverge and/or NPC.

  • Contractor shall provide to the Judicial Council a Vendor Hosted Learning Management System (LMS) Software to create, distribute, and manage the delivery of online modules for court interpreter education with the following capabilities: Ability to provide a centralized platform for the creation, hosting, and management of live, prerecorded, and click-through content, including SCORM courses, developed by CIP and in partnership with external consultants.

  • The LMS Software backend utilizes a redundant topology, so that automatic failure can occur.

  • In order to operate the DLCS, Comverge shall implement (a) its own software, including the LMS Software for operating the Comverge designed DLCS equipment, the BIS Software for tracking customer installations and procedures, and the M&V Software, all of which shall be hosted and run at Comverge facilities as provided in Attachment 2F and (b) the Carrier Software for operating the Carrier Two-way thermostats, which shall be hosted and run at Carrier facilities.

  • Neither Client nor Users shall claim any ownership of LMS, Software, and/or Content by reason of their use of, or access to, the LMS, Software, and/or Content.
