  • Borrower agrees and acknowledges that to the extent any provision of this Agreement is inconsistent with any provisions of any Other Documents (other than the LMCS Agreement), this Agreement shall govern.

  • To the Company’s Knowledge and except as set forth in the Employment Agreement, none of its employees or the employees of LMCS are subject to any noncompete, nondisclosure, confidentiality, employment, consulting or similar agreements relating to, affecting or in conflict with the present or proposed business activities of the Company or LMCS.

  • The Operating Agreement of each of the Company and LMCS shall be in the form of Exhibit B-1 and Exhibit B-2, respectively and such Operating Agreements shall be in full force and effect as of the Closing.

  • BPSS means the recognised standard for HMG for staff vetting which comprises verification of (1) identity, (2) employment history, (3) nationality and immigration status (including the right to work), and Criminal Records Bureau check (including a five (5) year address history check).

  • ACS means “asset-controlling supplier” as that term is defined in the Cap and Trade Regulations.
