The Sub-Adviser will promptly notify UBS Global AM of any pending investigation, material litigation, administrative proceeding or any other significant regulatory inquiry, unless prohibited by law, injunction, regulatory notice, or other restriction, the violation of which would expose LMCG to prosecution or litigation.
Pursuant to the laws of the State of Florida applicable to the Member, each of the Fund and LMCG, and the Member, agrees that, to the extent required by law, any suit, action, claim or proceeding brought by the Fund, the Managing Member or LMCG solely against the Member relating to or arising out of the Fund Documents or this Side Letter may be brought only in, and shall be subject to the exclusive jurisdiction of any state or federal court of competent jurisdiction located in the State of Florida.
The Member hereby agrees that, to the extent permitted by law, it will use reasonable efforts to promptly notify LMCG if a request is made for disclosure of confidential information relating to the Fund, other than the information set forth in clauses (i) - (vi) below, which request is deemed likely to lead to required disclosure pursuant to the Public Disclosure Laws.
These Bylaws shall be subject to the Agreement and Declaration of Trust, as amended and restated from time to time (the "Declaration of Trust"), of LMCG Funds, the Massachusetts business trust established by the Declaration of Trust (the "Trust").
Each of the Fund and LMCG recognizes that the Member is not authorized under applicable Florida law to provide the indemnification otherwise required pursuant to the LLC Agreement or the Member's Subscription Agreement.
The Member has provided a valid Form W-9 to support this and will inform LMCG if its circumstances change such that this Form becomes invalid.

If the Adviser ceases to act as investment adviser to the Trust or any Fund whose name includes the term "LMCG" or "▇▇▇ ▇▇▇▇▇▇ Capital' or "▇▇▇ ▇▇▇▇▇▇ Capital Group" (each, a "▇▇▇▇") or if the Adviser requests in writing, the Trust shall take prompt action to change the name of the Trust or any such Fund to a name that does not include the ▇▇▇▇.
The LMCG is also responsible for collecting information and preparing progress reports on the implementation of the Chapter, including conducting an assessment of whether there have been any unintended adverse consequences in the Chapter’s implementation.
