The rights and obligations of LLCP under this Agreement shall be freely assignable in whole or in part.
The Company agrees to pay all fees, costs, and expenses, including, without limitation, fees and expenses of attorneys, accountants and other experts retained by LLCP, and all fees, costs and expenses of appeals, incurred or expended by LLCP in connection with the enforcement of this Agreement or the collection of any sums due hereunder, whether or not suit is commenced.
The Company and the Principal Shareholders hereby agree that LLCP shall not be required or otherwise obligated to, and hereby waive any right to demand that LLCP, post any performance or other bond in connection with the enforcement of its rights and remedies hereunder.
The Company's reimbursement, indemnity and contribution obligations shall be in addition to any liability the Company may otherwise have at law or under any other agreement, including, without limitation, the Securities Purchase Agreement, and such obligations shall extend, upon the same terms, to all LLCP Parties.
In addition, each Principal Shareholder hereby represents and warrants to LLCP that he has carefully read this Agreement and has had sufficient time and opportunity to consider its terms and to obtain legal advice, if desired, and he fully understands the final and binding effect of this Agreement.
