The persons whose signatures appear below are authorized to submit this Agreement for L.K. Corp and Licensee, and to bind the parties to its terms and conditions.
There are also 24 classes of uncertificated Lower-Tier Regular Interests issued under this Agreement (the Class LA-1, Class LA-2, Class LA-3, Class LA-AB, Class LA-4, Class LA-1A, Cla▇▇ ▇▇-▇, ▇▇▇▇▇ ▇A-J, Class LB, Class LC, Class LD, Class LE, Class LF, Class LG, Class LH, Class LJ, Class LK, Class LL, Class LM, Class LN, Class LO, Class LP, Class LQ and Class LS Interests), each of which will constitute a regular interest in the Lower-Tier REMIC.
There are also twelve classes of uncertificated Lower-Tier Regular Interests issued under this Agreement (the Class LA-1, Class ▇▇-▇, ▇▇▇▇▇ ▇▇-▇, Class LB, Class LC, Class LD, Class LE, Class LF, Class LG, Class LH, Class LJ and Class LK Interests), each of which will constitute a regular interest in the Lower-Tier REMIC.
Thirty percent (30%) of total annual payment* , less 30% of the MPS administrative fee shall be made by MPS by February 20th upon receipt and approval of all items required for contract compliance - Appendix LK, Contract Compliance Checklist.
Purchase of assets or merger, of all or any substantial part of the LK Entities equity securities or assess, and shall not (other than in the ordinary course of business as heretofore conducted) provide any confidential information regarding collective assets or business(s) to any person other than Purchaser and our representatives.
Contractor must be in compliance with the items set forth in Appendix LK, Contract Compliance Checklist, be in good financial standing, and have no obligations to MPS more than 30 days old.
