Listing Expenses definition

Listing Expenses means (a) the costs and expenses (including reasonable costs, fees and expenses of legal counsel) incurred for the preparation of (i) SEC registration (including the preparation of financial statements and other legal and accounting items required for implementation of SEC registration and NYSE listing of the New Holdco Common Shares) and any costs of the financial printer related thereto and (ii) NYSE listing of the New Holdco Common Shares, (b) the cost and expenses (other than Taxes) incurred in connection with converting Justice funds to United States dollars, not to exceed $30,000, and (c) any HSR Act or other regulatory filing fees or other expenses and costs incurred in connection with the parties’ obligations under Section 7.6(c).

Examples of Listing Expenses in a sentence

  • The Company shall reimburse the Purchaser for any Expenses paid by the Purchaser on the Company’s behalf at Closing; provided, however, that the Company shall pay its portion of any Listing Expenses promptly as such Listing Expenses are incurred.

  • If the Business Combination shall not be effected, then all Expenses which are Listing Expenses shall be shared equally by the Company and Justice, including the costs to be shared by the parties as contemplated by Section 7.6(c).
