Listing Debt definition

Listing Debt means indebtedness incurred by the Guarantor or an Affiliate of the Guarantor to repurchase outstanding common stock shares in connection with a listing of Guarantor’s common stock on a publicly recognized equity exchange, provided that, (x) such debt does not exceed ten percent (10%) of the value of the total outstanding common stock shares; (y) the sum of the Principal Debt and any remaining unfunded Commitments (reduced, if any, in accordance with Section 2.05 below) plus the amount of the debt incurred by Guarantor or such Affiliate to repurchase outstanding common stock shares is less than One Hundred Million Dollars ($100,000,000.00); and (y) the financial and operating covenants of the Guarantor contained in any loan documents evidencing or executed in connection with the debt incurred by Guarantor or such Affiliate to repurchase the outstanding common stock shares are no more restrictive than those contained in this Agreement.

  • Existing Debt means Debt of each Loan Party and its Subsidiaries outstanding immediately before the occurrence of the Effective Date.

  • Qualifying Debt means amount due, which includes interest or any other sum due in respect of the amounts owed under any contract, by the debtor for a liquidated sum either immediately or at certain future time and does not include—

  • Closing Debt means the aggregate principal amount of, and accrued interest on, all Debt of the Company as of the close of business on the day immediately preceding the Closing Date.

  • Funding Debt means any Debt incurred by or on behalf of the General Partner for the purpose of providing funds to the Partnership.

  • Voting Debt has the meaning set forth in Section 3.02(c).
