Listed Plan definition

Listed Plan is defined as: (i) all employee benefit plans (as defined in Section 3(3) of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”)) (whether or not subject to ERISA), and in respect of the UK, any plans providing relevant benefits within the meaning of section 393B of the Income Tax (Earnings and Pensions) Act 2003 (ignoring the exception contained in that section) and (ii) and all stock option plans, change in control, retention agreements, which in the case of each of clauses (i) and (ii), is sponsored or maintained by a Group Company, or to which a Group Company contributes or is required to contribute or is a party, on behalf of current or former employees, officers, independent contractors or directors of a Group Company or their spouses, beneficiaries or dependents, or with respect to which a Group Company has or may have any liability, contingent or otherwise.
Listed Plan means each material Company Plan other than an offer letter that provides for "at will" employment and does not provide for severance payments or retention or transaction-based bonuses, provided that in the case of any employee benefit plan, program, or arrangement that is not (a) an equity or equity-based plan, bonus or incentive compensation arrangement, retirement or deferred compensation plan, profit sharing plan, severance compensation plan, or employment agreement, or (b) a fringe benefit plan applicable to any equityholder that holds Class C Units, such Company Plan shall not be a Listed Plan if the aggregate liability of the Company and its Subsidiaries is less than $200,000.
